Why IC processes fail to improve
The typical IC leaves almost no structured trace. There's a memo — written for approval, not for learning. There are meeting notes, if anyone took them seriously. There might be a recording. But the actual decision — what was believed, what was debated, what risks were identified and then discounted, what the confidence level was at the moment of commitment — lives nowhere reliable.
Six months later, when the investment is tracking differently than expected, it's nearly impossible to attribute the outcome accurately. Was it the thesis that was wrong? Execution? Market timing? Something you flagged but underweighted? Nobody remembers exactly what they said, and the memo doesn't capture the doubt.

Three specific failure modes show up repeatedly.

What a structured IC decision record should contain
The goal is to capture the decision at the moment it's made — not after the fact, when memory and outcome have already started to blur together.
A well-structured IC record captures:
The thesis and its logic. Not the polished version from the memo, but the actual reasoning: why this company, why now, what do you believe about the market that the market doesn't fully price yet.
The upside and downside cases. Explicitly stated, with the conditions under which each plays out. This forces clarity at decision time and creates a benchmark for outcome review.
Key risks — and the logic for discounting them. The risks you identified but decided weren't disqualifying. This is the most valuable part of the record. When an investment goes wrong, it's almost always because a risk that was visible was underweighted. Capturing why you discounted it is the data you need to recalibrate.
Confidence level at time of commitment. On a structured 1–10 scale, not a qualitative description. This feeds calibration analysis later — the gap between stated confidence and actual outcome quality, tracked across deals.
Situational context. What else was happening when this decision was made? Competitive pressure, fund cycle, time constraint, market conditions. The situational context is often the hidden variable that explains systematic patterns — why you consistently make overconfident decisions under time pressure, for example.
The vote and any dissent. Who voted which way, and what the dissenting reasoning was. Dissent that was overruled and proved right is among the most valuable data in your IC history.
Outcome checkpoints. Defined at the time of investment — 6, 12, 24 months — with the specific questions to be answered at each. Not "how is the company doing?" but "did the market timing thesis hold? Is the revenue trajectory matching the model?"
How outcome checkpoints work in practice
The checkpoint is where most IC processes completely break down. Reviews happen, but they're rarely connected to the original logic. You're evaluating current performance, not testing the original thesis.
A structured checkpoint asks three questions:
1. What did we expect to be true by this date?
2. What is actually true?
3. What's the gap, and what does it tell us about the quality of our original reasoning?
The last question is the one that produces learning. It's also the one that almost never gets asked explicitly, because it requires the original decision record to be specific enough to test against.
For investment decisions with long horizons — where the outcome isn't yet fully known — the checkpoint system needs to handle partial realisation. The right approach is to keep decisions in an "unrealised" state while gathering outcome data, rather than forcing premature closure. A Series A investment with a 5-year horizon shouldn't be scored at 12 months as if the outcome is known; the checkpoint at 12 months should answer the specific thesis-test questions that are answerable at that stage.
What calibration means for investment teams and how to track it
Calibration is the relationship between your stated confidence and your actual outcomes. A perfectly calibrated decision-maker who says "I'm 7 out of 10 confident" achieves good outcomes roughly 70% of the time on those decisions. Most people — including most experienced investors — are not well calibrated.
The most common pattern is overconfidence: stated confidence runs consistently higher than outcomes warrant. This is particularly pronounced in specific conditions — under time pressure, in sectors where you've had recent success, on deals where there's a strong founder relationship.
Tracking calibration requires capturing confidence at the moment of each decision (before the outcome is known), scoring outcome quality consistently on the same scale, and having enough decisions in the history to see patterns by category, condition, and context.
You can't do this from memory. You can't do it from a spreadsheet that nobody updates after the investment is made. You need a system that captures both inputs at decision time and outcome data at review time, and then surfaces the analysis across your full history.
